Terms & Conditions

Welcome to Norquest Brands. These Terms & Conditions (“Terms”) set out the contract between you (the “Customer”) and Norquest Brands Private Limited (“Norquest,” “we,” “us,” “our”) for the supply of custom, promotional, and sustainable bags, accessories, and related services. By placing an order with us, requesting a quote, or otherwise instructing us to proceed, you accept and agree to be bound by these terms.

If you require changes to these terms for a specific order, please submit them in writing before placing the order. Nothing in these terms affects your statutory rights.

1. Definitions

  • Order—any purchase order, estimate confirmation, or other instruction from the customer to supply goods or services.
  • Goods—the products supplied by Norquest (including prototypes, samples, and final production items).
  • Services—design, sampling, printing, packing, logistics, and other services offered by Norquest.
  • Contract—the agreement formed when Norquest accepts an order subject to these terms.

2. Quotations and Acceptance

  • Quotations are valid for the period stated on the quote and otherwise for 30 days unless withdrawn earlier.
  • An order is accepted when Norquest issues a written order confirmation or invoice.
  • Any conditions stated on a customer’s document that conflict with these terms are expressly excluded unless accepted in writing by Norquest.

3. Minimum Order Quantity (MOQ)

  • Natural fabric bags: Minimum 1,500 units.
  • Dyed fabric bags: Minimum 3,000 units.
  • Different MOQs may apply for special orders and will be communicated before order confirmation.

4. Quality Tolerances

  • Tolerances for size, color, and print alignment depend on the specific order and will be agreed upon in writing before production begins.
  • Any special requirements must be communicated during the order confirmation stage.

5. Prices, Taxes, and Duties

  • Prices are as quoted or shown on our invoice and exclude applicable taxes, duties, customs charges, and insurance unless stated otherwise.
  • The customer is responsible for all import duties, taxes, and customs clearance costs unless Norquest has expressly agreed to handle these in writing.
  • We reserve the right to adjust prices to reflect increases in raw material, currency fluctuation, freight, or other costs between acceptance and delivery.

6. Payment Terms

  • For orders under 5,000 bags: 100% advance payment is required.
  • For larger orders: Payment terms will be agreed upon before order confirmation, depending on the order size and customer relationship.
  • Late payments may result in delays, interest charges, or suspension of production.

7. Shipping & Delivery

  • We offer all major Incoterm options (e.g., EXW, FOB, CIF) depending on customer preference.
  • We can arrange insurance and manage customs duties if agreed in writing.
  • Delivery timelines are estimates only. While we make every effort to meet agreed dates, we are not liable for delays caused by events beyond our control.

8. Lead Times, Delivery, and Risk

  • Lead times quoted are estimates only. We will use reasonable endeavors to meet any estimated delivery dates, but time is not of the essence unless expressly agreed in writing.
  • Delivery is Ex Works (EXW) at our facility unless otherwise agreed.
  • If the customer requests a different delivery method, any additional costs will be payable by the customer.

9. Samples, Prototypes, and Artwork Approval

  • Samples or prototypes (including digital mock-ups) may be provided for approval. You must approve samples in writing before mass production begins.
  • Any changes after approval may result in additional costs and revised lead times.
  • Norquest is not liable for any losses arising from reliance on designs, artwork, or instructions supplied by the customer that are incomplete, inaccurate, or infringe third-party rights.

10. Returns & Refunds

  • We provide a full quality guarantee for goods matching the approved pre-production sample.
  • Any quality concerns must be reported in writing within 7 days of receiving the goods, with supporting evidence.
  • We will offer replacements, repairs, or other remedies as agreed. Custom-made products cannot be returned for reasons other than manufacturing defects.

11. Warranties and Limitation of Liability

  • Norquest warrants that, at the time of delivery, the Goods will substantially conform to the agreed specification and be free from material defects in workmanship. This warranty is limited to the remedies set out in clause 7.
  • Except as expressly stated, all other warranties (statutory or otherwise) are excluded to the fullest extent permitted by law.
  • Norquest’s total liability for loss or damage arising out of or in connection with any order shall not exceed the invoice value paid by the customer for the affected goods or services. We are not liable for indirect, special, consequential, or lost-profit losses.
  • Nothing in these terms limits liability for death or personal injury caused by our negligence, or for any other liability that cannot lawfully be limited.

12. Intellectual Property

  • You retain ownership of your logos, artwork, and designs provided to Norquest.
  • By providing these, you confirm you have the right to use them and permit Norquest to use them for production.
  • We may showcase completed work for marketing unless you request otherwise in writing before production starts.
  • Norquest retains rights to any designs, patterns, or tooling we create unless otherwise agreed.

13. Compliance, Certificates, and Sustainability Claims

  • We may provide certifications (e.g., GOTS, SEDEX, Fairtrade) where applicable.
  • Certifications are valid as of their issuance date and may be renewed periodically.
  • Customers may reference these certifications in marketing only in compliance with their usage rules.

14. Export Controls and Sanctions

The customer must not export or re-export goods in violation of applicable export control or sanctions laws. The customer will indemnify Norquest for losses arising from any breach.

15. Limitation of Liability

  • Our liability for any claim is limited to the invoice value of the affected goods or services.
  • We are not liable for indirect, incidental, or consequential losses, including lost profits.
  • Nothing in these terms limits our liability for death, injury, or fraud caused by our negligence.

16. Confidentiality & Data Protection

  • Both parties shall keep confidential any commercial or technical information disclosed in connection with an order and use it only to fulfill the contract.
  • Personal data processed in the course of business will be handled by Norquest’s Privacy Policy. By transacting with us, you consent to our processing of data as described in that policy. (Data may be stored and processed in India.)

17. Force Majeure

Norquest is not liable for any delay or failure to perform where such delay or failure is due to causes beyond its reasonable control (including but not limited to acts of God, pandemic, industrial action, shortages, or governmental actions). We will notify the customer promptly and take reasonable steps to mitigate the impact.

18. Termination and Cancellation

  • Orders for bespoke and customized goods may not be canceled except with Norquest’s written consent and on terms that indemnify Norquest for all losses, costs, and expenses incurred.
  • Either party may terminate for material breach if the other party fails to remedy a breach within a reasonable period after written notice.

19. Assignment

The customer may not assign or transfer rights under a contract without Norquest’s prior written consent. Norquest may assign its rights to any successor or affiliate.

20. Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of India. Any dispute arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

21. General

These Terms, together with the Order and any special terms agreed in writing, constitute the entire agreement between the parties about the Goods and Services supplied and supersede any prior agreements or understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remainder will remain in full force and effect.
